1. Automatic Agreement Clause

By accepting the role of a Sales Affiliate through Shopify Collabs or any other designated platform, you automatically agree to the terms and conditions outlined in this contract. No physical signature is required for this agreement, and the acceptance of your role implies full consent to the terms stated herein.

2. Scope of Responsibility

As a VitaliTea Sales Affiliate, you are responsible for promoting VitaliTea products in a manner that reflects their nature as general wellness items, not as specific health products. You must not make any health claims, exaggerated statements, or promises that imply the products are intended to diagnose, treat, cure, or prevent any disease.

3. Independent Contractors

Sales Affiliates are independent contractors and not employees of VitaliTea. As an independent contractor, you are responsible for managing your own taxes, insurance, and other legal obligations. VitaliTea holds no responsibility for your personal tax, legal, or other business affairs.

4. Non-Representation of Brand

Affiliates do not officially represent the VitaliTea brand. Any personal opinions, testimonials, or claims made by affiliates are considered to be their own and not reflective of the official position, views, or statements of VitaliTea. VitaliTea assumes no responsibility for any unauthorized claims made by affiliates.

5. Commission and Payment Terms

Commission Rate Changes: The commission rate is subject to change at any time at the sole discretion of VitaliTea. The commission rate may be increased or decreased, with or without prior notice, based on VitaliTea’s business needs.

Payment Frequency: Commissions will be processed and paid as outlined in Shopify Collabs. Payment schedules may vary, but all payments will adhere to the conditions set by the Shopify Collabs platform.

Non-Payment on Shipping: Commissions will only be paid on the product value of eligible sales and do not include shipping fees, taxes, or other additional charges.

6. Affiliate Content Usage

By participating in the VitaliTea Sales Affiliate program, you grant VitaliTea an irrevocable, perpetual, worldwide, non-exclusive, royalty-free license to use, modify, adapt, publish, translate, and distribute any content you create, including but not limited to social media posts, images, testimonials, and videos. You waive any ownership or legal claims over the content submitted. VitaliTea retains full rights to use this content for any marketing or promotional purpose without compensation or further approval from you.

7. Non-Liability for Affiliates' Actions

VitaliTea is not responsible for any actions, claims, or statements made by affiliates that are not in compliance with this contract or with regulatory guidelines. Affiliates are solely responsible for their own actions, and any legal consequences resulting from such actions will be their sole responsibility.

8. Right to Modify Terms

Vitalitea reserves the right to modify, update, or amend the terms of this affiliate contract at any time without prior notice. It is your responsibility to review and stay updated on any changes to this agreement, which will be available on our website or communicated via email.

9. Non-Competition Clause

Affiliates are not permitted to promote, endorse, or work with competing brands or products that are in direct competition with VitaliTea during their affiliation with VitaliTea. Violation of this clause will result in immediate termination of the affiliate contract.

10. Voucher Distribution

Affiliates may distribute VitaliTea vouchers and discount codes only as specified and allowed by VitaliTea. Affiliates must ensure they are following guidelines provided by VitaliTea and may not distribute vouchers in an unauthorized or misleading manner. The details and rules around voucher usage and distribution may change at the discretion of VitaliTea.

11. Regulatory Compliance

All affiliates are required to comply with applicable advertising laws and regulations, including the rules and guidelines set forth by relevant regulatory bodies in Australia and globally. Affiliates are expressly forbidden from making false health claims or misleading customers about the effects or benefits of VitaliTea products.

12. Termination Process

Vitalitea reserves the right to terminate this contract with immediate effect in the event of any breach of terms, including but not limited to the making of false claims, non-compliance with regulatory standards, or promoting competitors' products. Termination will result in the cessation of all commission payments and the invalidation of any affiliate discount codes issued to you.

13. Conversations on Discord or Social Media

Any conversations or interactions taking place on platforms such as Discord, social media, or other informal communication channels are not to be considered formal communication from VitaliTea. These platforms are intended for networking and informal discussions among affiliates and should not be interpreted as official guidance, advice, or instructions from VitaliTea.

14. Additional Benefits and Opportunities for Growth

While affiliates may receive additional benefits or growth opportunities based on their performance, these benefits and opportunities are at the complete discretion of VitaliTea. There are no guarantees, and all such benefits are provided solely at VitaliTea's choice.

15. Disputes

In the event of any dispute between an affiliate and VitaliTea, VitaliTea reserves the right to immediately terminate the contract. Affiliates understand that disputes will not be entertained through any formal legal or arbitration processes and will instead result in the dissolution of the relationship.

16. Commission-Based Products

Affiliates will only earn commissions on specific products outlined in their Shopify Collabs account. These products may change from time to time at the sole discretion of VitaliTea, and affiliates will not earn commissions on any products outside the designated list or on shipping fees.

17. Sales Affiliate Program Duration

The VitaliTea Sales Affiliate Program is not guaranteed to run indefinitely. VitaliTea reserves the right to cease the program at any time for any reason. Upon termination of the program, affiliates will no longer be able to earn commissions, and all affiliate relationships will be dissolved.

18. Marketing Content Participation:

By accepting the role of a VitaliTea Sales Affiliate, you agree that we may feature your photos and videos for our marketing purposes across all social media platforms (including, but not limited to, Instagram, Facebook, TikTok, LinkedIn, and YouTube) as well as on our personal website. This may include, but is not limited to, showcasing you as a new team member, brand advocate, ambassador, collaborator, partner, representative, influencer, supporter, promoter, spokesperson, or associate. This helps to foster a sense of community and demonstrate the growth of our brand.

19. Formal Communication

All formal communications regarding your role as a sales affiliate must be conducted through email. No other forms of communication, including but not limited to phone calls, text messages, or social media interactions, will be considered official. Only email communications from VitaliTea’s designated address will be acknowledged as formal and binding.
